1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you and Eleven Signal ("Eleven Signal," "we," "us," or "our"), the company that operates the Eleven Signal advertising performance dashboard available at elevensignal.com (the "Service").
By creating an account, connecting a TikTok Ads Manager account, or otherwise using the Service, you agree to these Terms and to our
Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
2. The Service
Eleven Signal connects to your TikTok Ads Manager account through the TikTok API for Business and displays your campaign, ad group, and ad performance data in a single dashboard. The Service is read-only with respect to your TikTok data: we do not create, modify, or delete campaigns, ad groups, or ads on your behalf.
We may add, change, or remove features at any time. We will give reasonable notice of material changes that reduce core functionality.
3. Eligibility
The Service is a business tool intended for use by adults. You must be at least 18 years old and capable of forming a binding contract to use it. The Service is not directed to anyone under 16, and you may not use it on behalf of anyone under 16.
4. Accounts and Security
To use the Service, you must create an account with accurate information and keep it current. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at info@elevensignal.com if you suspect unauthorized access. We are not liable for any loss arising from your failure to protect your credentials.
5. TikTok Integration and Third-Party Services
The Service depends on the TikTok API for Business and other third-party providers.
- Your authorization. When you connect your TikTok Ads Manager account, you authorize Eleven Signal to access your advertising data using the read-only permissions described in our Privacy Policy. You may revoke this authorization at any time through TikTok Ads Manager.
- Your responsibility for the connected account. You represent that you own, or are authorized to access and connect, any TikTok Ads Manager account you link to the Service, and that you have all rights and permissions necessary to do so.
- Compliance with TikTok's terms. Your use of TikTok Ads Manager and the TikTok API is governed by TikTok's own terms and policies. You agree to comply with them. We are not responsible for TikTok's services, availability, data practices, or any changes TikTok makes to its API.
- Third-party providers. The Service relies on third-party infrastructure providers (including those listed in our Privacy Policy). We are not responsible for the acts or omissions of third parties, and your use of their services may be subject to their own terms.
If TikTok or any third-party provider changes, limits, or discontinues access, some or all of the Service may become unavailable, and we will not be liable for that unavailability.
6. Your Data and Ownership
As between you and Eleven Signal, you own your account information and the TikTok advertising data you connect to the Service ("Your Data"). You grant us a limited, non-exclusive license to access, store, process, and display Your Data solely to provide and improve the Service and as described in our Privacy Policy.
We do not sell Your Data, and we do not share your TikTok advertising data with any other customer of Eleven Signal. Our handling of personal information is governed by our Privacy Policy.
You may export or delete Your Data as described in our Privacy Policy.
7. Acceptable Use
You agree not to:
- Use the Service in violation of any law or any third party's rights, including TikTok's terms and policies;
- Connect a TikTok account you are not authorized to access;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where this restriction is prohibited by law;
- Interfere with or disrupt the Service, including through denial-of-service attempts, scraping beyond permitted use, or circumventing rate limits or security measures;
- Resell, sublicense, or provide the Service to third parties except as expressly permitted; or
- Use the Service to build a competing product.
We may suspend or terminate access if we reasonably believe you have violated this section.
8. Fees and Payment
If the Service includes paid plans, the applicable fees, billing frequency, and payment terms will be presented to you at the time of purchase. Unless stated otherwise:
- Fees are billed in advance and are non-refundable except as required by law.
- You authorize us or our payment processor to charge your chosen payment method on a recurring basis until you cancel.
- We may change fees on a going-forward basis with prior notice; changes take effect at your next billing cycle.
- You are responsible for any taxes associated with your use of the Service.
If the Service is offered to you free of charge, we may modify or discontinue the free offering at any time.
9. Intellectual Property
The Service, including its software, design, text, and trademarks, is owned by Eleven Signal and its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership of the Service. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms.
If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that the data displayed will be accurate or complete. Advertising data is retrieved from TikTok and may be delayed, incomplete, or affected by changes outside our control. You are responsible for any decisions you make based on data shown in the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEVEN SIGNAL AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold Eleven Signal harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, your violation of any law or third-party right, or your connection of a TikTok account you were not authorized to access.
13. Term and Termination
These Terms apply for as long as you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service.
On termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive. Data deletion following account closure is handled as described in our Privacy Policy.
14. Changes to These Terms
We may update these Terms as the Service evolves. When we make material changes, we will update the "Last Updated" date and, if the change is significant, notify you by email. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules. You and Eleven Signal agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in [COUNTY, STATE], and you consent to their jurisdiction.
Before filing any formal claim, you agree to first contact us at info@elevensignal.com and attempt to resolve the dispute informally for at least 30 days.
16. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Eleven Signal regarding the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may provide notices to you by email or through the Service.
